These Terms of Use (“Terms”) are a legal agreement between you and GOPLATED LLC, a Montana limited liability company (“GOPLATED LLC,” “Company,” “we,” “us,” or “our”), governing your access to and use of Recipency and any related pages, recipes, features, communications, and services made available through the website.

Throughout these Terms, Recipency and its related content and services are collectively referred to as the “Site.” Recipes, instructions, photographs, videos, graphics, text, articles, downloads, newsletters, comments published by us, and other materials made available through the Site are collectively referred to as the “Content.”

Please read these Terms carefully. By accessing, browsing, or using the Site, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of These Terms

By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agreed to these Terms.

If you access or use the Site on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

If you do not accept these Terms, you must not access or use the Site and should discontinue your use immediately.

2. Eligibility

You represent that you are a natural person who is at least 16 years old or has reached the age of legal majority in your jurisdiction, whichever is higher.

If you are under the required age, you may not use the Site without the involvement and permission of a parent or legal guardian where permitted by applicable law.

You may not access the Site through an unauthorized bot, automated script, artificial agent, scraper, or other non-human system. This restriction does not apply to search engines, accessibility services, or other automated systems expressly authorized by GOPLATED LLC.

3. Termination and Suspension

GOPLATED LLC may restrict, suspend, block, or terminate your access to all or part of the Site at any time if we reasonably believe that you have violated these Terms, threatened the security or operation of the Site, infringed the rights of another party, or used the Content for an unauthorized purpose.

We may also modify, suspend, discontinue, or withdraw any part of the Site or Content at any time, with or without notice.

You may stop using the Site at any time. Provisions that are intended by their nature to survive termination, including provisions concerning intellectual property, licenses, disclaimers, liability, indemnification, and dispute resolution, will remain in effect.

4. Consent to Electronic Communications

By accessing the Site, submitting an electronic form, leaving a comment, subscribing to communications, or otherwise communicating with us electronically, you consent to receiving records, notices, disclosures, and other communications from us electronically.

You agree that electronic communications may satisfy any legal requirement that a communication be provided in writing, to the extent permitted by applicable law.

You are responsible for maintaining access to a device, internet connection, current browser, and email address needed to receive or retain electronic communications.

5. Communications From Recipency

We may use contact information you voluntarily provide to respond to questions, send requested newsletters, deliver administrative notices, communicate about your comments or submissions, or provide information concerning the operation or security of the Site.

You may unsubscribe from promotional emails through the unsubscribe link contained in those communications. We may still send non-promotional messages when reasonably necessary to respond to you, protect the Site, or comply with legal obligations.

6. Ownership and Proprietary Rights

Unless otherwise stated, the Site and its Content are owned by or licensed to GOPLATED LLC.

The Content may include recipes, recipe instructions, ingredient lists, photographs, illustrations, designs, videos, written articles, graphics, logos, icons, downloadable materials, databases, website code, layouts, and other creative or proprietary materials.

The Site and Content are protected by applicable copyright, trademark, trade dress, database, and other intellectual-property laws. Accessing or downloading Content does not transfer any ownership rights to you.

Recipency, GOPLATED LLC, and their associated names, logos, designs, and branding may not be used in a manner likely to cause confusion, imply an unauthorized affiliation, or damage the reputation of the Company.

All rights not expressly granted under these Terms are reserved.

7. Permitted Use of the Site and Content

Subject to these Terms, GOPLATED LLC grants you a limited, revocable, non-exclusive, non-transferable license to access the Site and view, download, or print reasonable portions of the Content solely for your personal and non-commercial use.

You may share links to publicly available Recipency pages through the sharing features provided on the Site or through ordinary social-media sharing, provided that you identify Recipency as the source and do not reproduce the complete Content.

Any other use requires prior written permission from GOPLATED LLC.

8. Prohibited Uses of the Content

Unless you have received prior written authorization from GOPLATED LLC, you may not:

  • Copy, reproduce, republish, distribute, sell, license, rent, transmit, mirror, or commercially exploit the Site or Content.
  • Reproduce complete recipes, articles, photographs, videos, downloads, or other substantial portions of the Content on another website, application, social-media account, newsletter, publication, database, or service.
  • Modify Content or create derivative works from it for public or commercial distribution.
  • Use photographs, illustrations, videos, or graphics separately from their accompanying context without authorization.
  • Remove or alter copyright, trademark, attribution, watermark, or proprietary-rights notices.
  • Misrepresent Content as your own or imply that GOPLATED LLC endorses, sponsors, or is affiliated with you.
  • Use the Content in a way that disparages or damages Recipency, GOPLATED LLC, their Content, or their reputation.
  • Compile, aggregate, harvest, or create a dataset, database, recipe collection, or content library from the Site for distribution or third-party use.
  • Use Content to create or improve a product, service, website, database, or publication that competes with Recipency.
  • Use the Site or Content for an unlawful, deceptive, fraudulent, or unauthorized purpose.

Artificial Intelligence and Machine Learning

GOPLATED LLC does not authorize any person or entity to use the Site or Content, in whole or in part, as training data, input, evaluation data, source material, or reference material for an artificial-intelligence, machine-learning, natural-language-processing, generative-AI, text-mining, image-generation, or similar system.

You may not use automated or manual means to collect Content for the development, training, fine-tuning, testing, benchmarking, retrieval, operation, or improvement of any such system without a separate written agreement with GOPLATED LLC.

This restriction applies to commercial and non-commercial use.

9. User-Generated Content

The Site may allow visitors to submit comments, recipe ratings, reviews, photographs, questions, suggestions, or other materials. These materials are collectively referred to as “User-Generated Content.”

You are solely responsible for User-Generated Content you submit. You must have all rights and permissions necessary to submit it.

User-Generated Content must not:

  • Be false, fraudulent, defamatory, libelous, threatening, harassing, abusive, discriminatory, hateful, obscene, pornographic, or otherwise unlawful.
  • Infringe a copyright, trademark, privacy right, publicity right, trade secret, contractual right, or other right belonging to another person or entity.
  • Contain another person’s private or sensitive information without permission.
  • Impersonate another person or misrepresent your identity, experience, or affiliation.
  • Contain spam, advertisements, promotions, affiliate links, solicitations, or unrelated commercial material.
  • Include viruses, malware, malicious code, tracking code, or any material intended to interfere with the Site or another system.
  • Promote illegal activity or create a risk of harm to a person or property.
  • Be unrelated to the recipe, article, product, or subject to which it is submitted.
  • Include a review or rating that is fake, misleading, or based on an experience you did not have.

We may review, edit, refuse, hide, or remove User-Generated Content at any time. We are not required to publish or retain any submission and are not responsible for User-Generated Content submitted by visitors.

10. License for Your Submissions

When you submit User-Generated Content to the Site, you grant GOPLATED LLC a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free license to host, store, use, copy, reproduce, modify, adapt, translate, publish, display, distribute, and otherwise use that content in connection with Recipency, GOPLATED LLC, and their business activities.

This license includes the right to display your submitted name or username with the content and to use the submission in different media or formats without payment to you.

You represent that your submission does not violate any third-party right or applicable law and that you have authority to grant this license.

11. Site Security

You may not violate or attempt to violate the security, integrity, or availability of the Site.

Prohibited conduct includes:

  • Accessing data, systems, servers, or accounts that you are not authorized to access.
  • Attempting to probe, scan, or test a system or network for vulnerabilities without written authorization.
  • Circumventing security measures, rate limits, access controls, cookie-consent tools, paywalls, or technical restrictions.
  • Introducing viruses, malware, spyware, ransomware, malicious scripts, or harmful code.
  • Overloading, flooding, disrupting, damaging, or interfering with the Site, its hosting provider, or connected networks.
  • Forging headers, identities, requests, traffic, or communications.
  • Collecting login credentials, contact information, or personal information from visitors without authorization.
  • Using the Site to transmit spam, unsolicited advertising, or deceptive communications.

12. Automated Access and Scraping

Unless expressly authorized in writing, you may not use any robot, scraper, spider, crawler, data-extraction tool, browser automation, automated script, artificial agent, or similar technology to access, monitor, download, index, copy, harvest, or collect the Site or Content.

You may not circumvent, disable, avoid, or interfere with any security feature, robots instruction, access-control system, anti-scraping measure, or other technical restriction.

You may use ordinary web browsers and the search, navigation, printing, and sharing tools made available through the Site for their intended purposes.

13. Remedies for Violations

Unauthorized access, copying, scraping, redistribution, artificial-intelligence use, or other misuse of the Site or Content may result in suspension or termination of access and may expose the responsible party to legal claims and remedies available under applicable contract, copyright, trademark, computer-security, data-protection, unfair-competition, and other laws.

GOPLATED LLC reserves the right to investigate suspected violations, preserve relevant evidence, block access, issue takedown or cease-and-desist requests, seek damages or injunctive relief, and cooperate with hosting providers, platforms, service providers, rights holders, or law-enforcement authorities where appropriate.

These remedies are cumulative. Our decision not to pursue one remedy does not waive another available remedy.

14. Privacy Policy

Our Privacy Policy explains how GOPLATED LLC and its service providers may collect, use, retain, and disclose information in connection with the Site.

By using the Site, you acknowledge the data practices described in that policy.

15. Availability and Support

We aim to maintain the Site and Content, but we do not guarantee that they will always be available, uninterrupted, secure, complete, or error-free.

The Site may become unavailable for maintenance, updates, hosting issues, security events, technical failures, or other reasons.

GOPLATED LLC is not obligated to provide technical support, preserve comments or other submissions, or maintain any particular recipe, article, feature, or service.

16. Changes to These Terms

GOPLATED LLC may revise these Terms at any time by publishing an updated version on the Site.

The revised Terms will become effective on the date identified at the top of the page unless a different effective date is stated.

Your continued use of the Site after revised Terms become effective constitutes your acceptance of those changes. If you do not agree with an updated version, you must stop using the Site.

17. Third-Party Websites and Links

The Site may contain links to websites, advertisements, services, applications, social-media platforms, merchants, or other resources operated by third parties.

A link does not necessarily constitute an endorsement, sponsorship, partnership, or recommendation by GOPLATED LLC.

We do not control and are not responsible for third-party content, availability, security, privacy practices, products, services, transactions, or policies. Your use of a third-party service is governed by that third party’s own terms and policies.

18. Third-Party Products and Services

The Content may refer or link to ingredients, kitchen equipment, tools, appliances, books, software, merchants, or other products and services supplied by third parties.

GOPLATED LLC does not manufacture, control, or guarantee third-party products or services. You are responsible for reviewing product instructions, warnings, allergens, recalls, warranty terms, merchant policies, and safety information before purchasing or using a product.

You are also responsible for any internet, device, data, ingredient, equipment, delivery, or other costs associated with accessing or using the Site or Content.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND CONTENT ARE PROVIDED “AS IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE.” YOUR USE OF THE SITE AND CONTENT IS AT YOUR OWN RISK.

GOPLATED LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, CONTRIBUTORS, SUPPLIERS, AND LICENSORS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE OR CONTENT WILL MEET YOUR REQUIREMENTS, BE AVAILABLE WITHOUT INTERRUPTION, BE FREE FROM ERRORS OR HARMFUL COMPONENTS, OR PRODUCE ANY PARTICULAR RESULT.

Recipe results may vary because of differences in ingredients, brands, equipment, measurements, climate, altitude, technique, substitutions, cooking times, and individual circumstances.

You are responsible for exercising appropriate judgment, kitchen hygiene, food-safety practices, allergy precautions, equipment precautions, and supervision when preparing or using any recipe.

20. Disclaimer of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOPLATED LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR CONSEQUENTIAL, SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS EXCLUSION INCLUDES LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, OPPORTUNITY, PRIVACY, OR ANTICIPATED SAVINGS; BUSINESS INTERRUPTION; PROPERTY DAMAGE; PERSONAL INJURY; OR OTHER LOSS ARISING OUT OF OR RELATING TO THE SITE, CONTENT, USER-GENERATED CONTENT, THIRD-PARTY PRODUCTS, OR THESE TERMS.

This limitation applies whether a claim is based on contract, warranty, negligence, strict liability, misrepresentation, statute, or another legal theory, even if we were advised that damage was possible.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF GOPLATED LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, SUPPLIERS, AND LICENSORS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE, CONTENT, USER-GENERATED CONTENT, OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • The amount you paid directly to GOPLATED LLC for the specific service giving rise to the claim during the preceding twelve months; or
  • One hundred United States dollars (US $100).

Multiple claims will not increase this limit.

22. Limits That May Not Apply

Some jurisdictions do not permit certain warranty exclusions or limitations of liability. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

If an exclusion or limitation is prohibited in your jurisdiction, it will apply only to the maximum extent permitted by applicable law.

23. Indemnification

You agree to defend, indemnify, and hold harmless GOPLATED LLC and its members, managers, employees, contractors, agents, suppliers, licensors, successors, and assigns from claims, demands, actions, losses, liabilities, judgments, damages, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • Your use or misuse of the Site or Content.
  • Your User-Generated Content.
  • Your breach of these Terms.
  • Your violation of applicable law or the rights of another party.
  • Unauthorized scraping, automated access, data harvesting, reproduction, or redistribution.
  • Unauthorized use of Content for artificial intelligence, machine learning, or related systems.
  • Any allegation that material you submitted infringes or violates another party’s rights.

GOPLATED LLC may assume exclusive control of the defense of a matter subject to indemnification. If it does, you agree to cooperate fully with that defense.

24. Class Action Waiver

To the extent permitted by applicable law, you agree that any claim, dispute, or proceeding concerning the Site, Content, or these Terms will be brought solely in your individual capacity and not as a plaintiff, claimant, or class member in a class, collective, consolidated, coordinated, or representative action.

25. Geographic Restrictions

GOPLATED LLC operates the Site from the United States. We make no representation that the Site or Content is lawful, appropriate, or available in every location.

If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with applicable local laws.

26. Governing Law and Venue

These Terms and any dispute arising out of or relating to the Site, Content, or these Terms will be governed by the laws of the State of Montana, without regard to conflict-of-law principles.

To the extent a dispute may properly be resolved in court, you consent to the exclusive jurisdiction of the state and federal courts of competent jurisdiction located in Montana.

You waive any objection based on personal jurisdiction, venue, or an inconvenient forum, to the extent such waiver is permitted by law.

27. General Provisions

Section headings are provided for convenience and do not affect the interpretation of these Terms.

The word “including” means “including without limitation” unless the context clearly indicates otherwise.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the greatest extent permitted, and the remaining provisions will remain in effect.

Our failure to enforce a provision is not a waiver of that provision or of our right to enforce it later. A waiver is effective only if it is in writing and authorized by GOPLATED LLC.

GOPLATED LLC may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, restructuring, sale, financing, or other business transaction. You may not assign your rights or obligations without our prior written consent.

These Terms, together with our Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and GOPLATED LLC concerning your use of the Site.
